Terms of Service

1. Definitions

• "Kaligon", "we", "us" — Kaligon Ltd. and its affiliates, the provider of the Service.
• "Service" — the Kaligon DCIM platform, including the open-source software, the managed SaaS offering, and this website at dcim.sc.
• "Customer", "you" — the person or legal entity that creates an account, deploys the software, or otherwise uses the Service.
• "End User" — a person who uses a Kaligon-powered storefront operated by a Customer (e.g. a VPS buyer).
• "Content" — data, text, code, images, or other materials uploaded, created, or stored via the Service.

2. Acceptance

By using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

Kaligon DCIM provides software and hosted services for running multi-tenant VPS hosting businesses. Features may change. We will provide reasonable notice of material changes that reduce functionality for paying Customers.

The self-hosted edition is licensed separately under an open-source license included in the source repository. These Terms govern use of the managed Service and this website.

4. Accounts and security

You are responsible for:

• keeping your credentials confidential;
• all activity under your account, including acts of your employees, agents, and End Users;
• enabling two-factor authentication where offered;
• notifying us promptly of suspected unauthorized access.

5. Acceptable use

You must not, and must not permit anyone else to, use the Service to:

• violate any applicable law or regulation;
• host, distribute, or facilitate access to child sexual abuse material, malware, phishing, or other abusive content;
• infringe any third party's intellectual property or privacy rights;
• attempt to gain unauthorized access to any system, account, or data;
• send unsolicited bulk communications (spam);
• circumvent rate limits, quotas, or technical measures.

We may suspend or terminate accounts that materially violate this section, with or without notice depending on the severity.

6. Fees and payment

Paid plans are billed in advance for the selected billing cycle. Fees are exclusive of taxes unless stated. Payment is due on receipt of invoice. Late amounts accrue interest at the lesser of 1.5% per month or the maximum permitted by law. You are responsible for all applicable taxes, duties, and bank fees.

Refunds are pro-rated on cancellation for any unused portion of a prepaid term, less any applicable fees or discounts recaptured. Usage-based charges (e.g. bandwidth overages) are non-refundable.

7. Your Content

You retain ownership of Content you submit to the Service. You grant Kaligon a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display that Content solely to provide the Service to you.

You are solely responsible for the legality of Content you store and for obtaining any rights necessary to use it on the Service.

8. Our IP

The Service, including the software (other than open-source components under their own licenses), trademarks, logos, and documentation, is owned by Kaligon or its licensors. No rights are granted except those expressly stated in these Terms or in the applicable open-source license.

9. Third-party services

The Service integrates with third-party tools (e.g. a payment processor, Proxmox VE, email providers). Their terms apply separately. We are not responsible for third-party actions, outages, or policy changes.

10. Service levels

Managed plans include the uptime commitment stated on the pricing page at the time of purchase. Credits for SLA breaches are your sole remedy. The self-hosted edition has no uptime commitment.

11. Warranty disclaimer

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KALIGON'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.

13. Indemnity

You will indemnify Kaligon against claims, losses, and expenses (including reasonable legal fees) arising from (a) your Content, (b) your violation of these Terms, or (c) your violation of third-party rights or applicable law.

14. Termination

Either party may terminate a paid plan at the end of the then-current billing cycle by providing notice through the account portal. We may suspend or terminate your account immediately for material breach, non-payment, or if required by law. On termination, we will make your data available for export for thirty (30) days, after which it may be deleted.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email and on this page at least thirty (30) days before they take effect for paying Customers.

16. Governing law and disputes

These Terms are governed by the laws of the jurisdiction stated in your order form, without regard to its conflict of laws principles. Disputes will be resolved in the courts of that jurisdiction, unless mandatory consumer protection laws require otherwise.

17. Miscellaneous

These Terms, together with any order form, are the entire agreement between you and Kaligon regarding the Service. If any provision is held unenforceable, the remainder continues in effect. Failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
